These Terms and Conditions (the “Agreement”) set forth the legally binding terms between you ("the Customer," "Borrower," or "User") and SY & TEES Pharmaceuticals ("the Company," "Us," "We," or "Our"). This Agreement governs your access to and the use of the SY & TEES Pharmaceuticals B2B e-commerce platform and all related services, including the Buy Now, Pay Later (BNPL) Credit Facility.
By accessing, using, or registering an account, you acknowledge that you have read, understood, and accept to be bound by this entire Agreement. This constitutes a legally binding contract, subject to the laws of the Federal Republic of Nigeria. If you do not agree with any part of these terms, you must immediately discontinue the use of our services.
For the purposes of this Agreement, the following definitions shall apply:
Lender: Means SY & TEES Pharmaceuticals, operating as the provider of the Credit Facility.
Borrower: Means the User, business entity, or institution that has been granted access to the Credit Facility by the Lender.
Credit Facility (or Facility): Means the discretionary line of credit extended by the Lender for the procurement of pharmaceutical products.
Outstanding Balance: Means the total unpaid amount due to the Lender under the Credit Facility, consisting exclusively of the principal debt (cost of goods) and any necessary recovery costs incurred by the Lender in pursuit of repayment.
Repayment Period: Means the specific time frame within which the Borrower is required to make full payment for the amount utilized under the Credit Facility.
Default: Means the failure of the Borrower to meet any of their obligations, including failure to repay the Outstanding Balance within the stipulated Repayment Period.
SY & TEES Pharmaceuticals operates a Business-to-Business (B2B) e-commerce platform dedicated to the distribution of authentic pharmaceutical and medical products. You acknowledge and agree that our role is strictly that of a distributor, and we are not liable for any manufacturer defects or issues originating from the product’s manufacturing process.
Our platform is exclusively reserved for professional licensed healthcare providers and legitimate business entities. To register and maintain an account, you must provide valid and verifiable regulatory documents. These include, but are not limited to:
For Pharmacies: A valid Certificate of Incorporation from the Corporate Affairs Commission (CAC) and a Pharmacists Council of Nigeria (PCN) Premises and Practicing License.
For Hospitals and Clinics (Institutions): A CAC Certificate, a practice license from the Medical and Dental Council of Nigeria (MDCN) or other relevant professional bodies, and/or a facility license from the relevant State Ministry of Health (e.g., HEFAMAA).
For Patent Medicine Stores/Chemists: A CAC Certificate and a Patent and Proprietary Medicines Vendor's License (PPMVL) issued by the PCN.
The Company reserves the right to deny service or terminate accounts that do not meet these strict eligibility criteria.
You make the following binding representations and warranties to the Company every time you use our Services:
You are over the age of 18 (eighteen) years and are of sound mind and capacity to enter into a legally binding contract.
All personal information, business information, and property information you provide is accurate and true to the best of your knowledge.
You are not breaching any Applicable Laws or regulations.
You shall not use the Platform for any purpose that is prohibited by these Terms. Prohibited activities include, but are not limited to: breaching any applicable laws, circumventing platform security, or requesting/making payments outside of the Platform.
You are solely responsible for maintaining the confidentiality and security of your account login details. You must notify us immediately of any unauthorized use or security breach.
You hereby agree and authorize us to verify the information provided by you against your business registration details, contact information, and personal identification of directors and shareholders, to comply with the mandatory “Know Your Customer” (KYC) requirements. All data handling and consent are detailed in our separate Privacy Policy.
The products displayed on our website are subject to availability. While we make every effort to maintain accurate inventory, stock levels are not displayed in real-time. For large or specialized orders, we may need to reorder from our suppliers to fulfill your request. We reserve the right to manage our inventory and distribute products as we see fit in cases of high demand or short supply. The Company is not liable for stockouts or product unavailability.
Orders can be placed directly through the website or by uploading an image of a written order. An order placed by you is an offer to purchase a product. The binding contract for sale is formed only when we review, confirm, and accept your order, at which point the final cost and delivery details will be provided.
In adherence to strict Nigerian pharmaceutical regulations, our digital platform does not facilitate the online sale or distribution of controlled substances. For all inquiries regarding the procurement and delivery of controlled substances, we require our B2B partners to contact us directly.
All prices are subject to change without prior notice. The final, billed price is not finalized until acceptance of order requests.
Exclusive Payment Method: All payments for products and services must be processed exclusively through the User's Virtual Wallet created upon successful account registration and approval. No other payment methods, including external bank transfer, are accepted for transactions on the platform.
Wallet Withdrawals: Withdrawals from the virtual wallet are processed manually upon request within two (2) to ten (10) working days.
Dispute Period: If you disagree with any payment transaction recorded in your Virtual Wallet, you can submit such a complaint within thirty (30) days of the transaction.
While we offer nationwide delivery, our primary service area for optimal efficiency is the Lagos and Ogun State axis. We typically provide an estimated delivery time of two to seven business days. This is an estimate and not a guarantee. We are not liable for delays caused by unforeseen circumstances, including logistical challenges or other events beyond our reasonable control.
In the event of a significant delivery delay, we will notify you promptly. You can track the progress of your shipments in real time using our tracking system.
You are strictly required to immediately inspect all shipments upon receipt for damage, shortages, or incorrect items. Any claim must be reported to the Company in writing within six (6) hours of delivery. Failure to report within this timeframe constitutes absolute acceptance of the goods as delivered.
The Buy Now, Pay Later (BNPL) service is a discretionary, non-banking financial service offered by the Lender (SY & TEES Pharmaceuticals). By utilizing this facility, the Borrower enters into a legally binding financial contract under these specific terms.
Lender Discretion and Review: Credit Facility limits shall be subject to periodic assessment and may be increased, reduced, or revoked based on the Borrower's repayment performance.
Maximum Potential Limit by Institution Type:
Chemists/Patent Medicine Stores: Up to ₦500,000
Pharmacies: Up to ₦1,000,000
Hospitals/Institutions: Up to ₦2,000,000
First-time Borrowers' Commitment: For the first three (3) Facility requests, the Borrower shall be required to issue a written commitment (Postdated Cheque or duly executed Payment-Undertaking-Form), payable within fourteen (14) days.
Enhanced Verification: Any Credit Facility requests exceeding ₦2,000,000 shall automatically require enhanced KYC and further verification by the Lender.
Repayment Obligation: You shall repay the full Outstanding Balance within the stipulated Repayment Period via the Lender’s Virtual Wallet.
No Interest or Late Fees: The Credit Facility is extended interest-free. No daily interest penalties or late payment fees shall be charged to the Outstanding Balance.
Security Interest (Hypothecation): The Borrower grants the Lender a security interest in the purchased products or other products hypothecated until the full payment of the principal debt is received.
Security and Set-Off: The Borrower grants the Lender the irrevocable right to offset any outstanding debt against any funds held in the Virtual Wallet.
An Event of Default occurs upon failure to repay the Outstanding Balance. Upon Default, the Lender may:
Repossession of Goods (Enforcement of Security Interest): Without a prior judicial order, the Lender shall have the right to enforce its security interest by taking possession of inventory and/or assets from the Borrower’s shelves or premises of a verifiable market value equivalent to the full Outstanding Balance.
Acceleration of Debt: A default on one amount shall result in the acceleration of other outstanding balances.
Credit Reporting: The Lender reserves the right to report the Borrower's non-payment or default to credit reporting agencies.
Debt Recovery: The Borrower shall be responsible for all costs associated with the collection of overdue payments.
Data Utilization for Recovery: The Lender reserves the right to utilize the personal information (including NIN, phone number, and email address) of the Borrower’s directors, shareholders, or any other authorized personnel as part of the measures to guarantee recovery.
The Platform, all proprietary source code, software, the Company’s trade name, logos, and features are and will remain the exclusive property of SY & TEES Pharmaceuticals.
If you submit any business information, testimonial, or other material ("Submission") to us, you grant us an unrestricted, worldwide, royalty-free, irrevocable, and perpetual license to use and publish that material.
SY & TEES Pharmaceuticals is a distributor and not a manufacturer of drugs. We are not liable for any loss, claim, or damage that arises from a manufacturer's error, defect, or any issue originating from the product's manufacturing process.
The information provided on our website, including product descriptions, is for informational purposes only. It is not intended as a substitute for professional medical or legal advice. You, as a licensed professional, are responsible for verifying all information and for the proper use of all products.
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability or fitness for a particular purpose.
In no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses. The Company's total responsibility for any claim, loss, or damage is strictly limited to a refund of the amount you paid for that specific product giving rise to the claim.
You agree to indemnify, defend, and hold harmless SY & TEES Pharmaceuticals against all liabilities, costs, expenses, and damages suffered as a result of your breach of these Terms or your fraudulent/illegal use of the Services.
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The Parties irrevocably agree that the courts of Ogun State, Nigeria, shall have exclusive jurisdiction over any non-arbitrable matter, including the enforcement of any arbitration award.
We require all partners to utilize our internal channels for a period of thirty (30) days for good-faith resolution of any issue before pursuing any external legal or regulatory action.
Any disputes arising under or in connection with the validity, interpretation, and performance of this Agreement that cannot be resolved amicably by the parties through negotiation within thirty (30) days shall be resolved by binding Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator in accordance with the Arbitration and Conciliation Act. The decision of the arbitrator shall be final and binding on the parties.
The Company shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, pandemics, labor disputes, failure of sub-contractors, or any other cause beyond its reasonable control.
11.2 Changes to Terms & Conditions
SY & TEES Pharmaceuticals reserves the right, in its sole discretion, to change or replace these Terms at any time. We encourage you to periodically review the Terms to stay informed of our updates. Continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
